About the book

A contemporary and global guide to understanding the fundamentals of corporate governance.

Corporate Governance by Arron Phillips is a core textbook for upper-level undergraduate and postgraduate students studying international business management, corporate governance and business ethics. Designed to align with modules on governance, CSR and strategic leadership, it provides a foundation in the principles, structures and global frameworks that shape how organizations are directed and controlled.

This textbook includes:
-Clear frameworks for understanding governance structures, board dynamics and legal frameworks
-A comparative analysis of international governance models and systems, specifically the UK's voluntary model, the US's legal approach, Europe's two-tiered model and Asia's family-based model, keiretsu model and chaebol model
-Real-world examples illustrating global governance practices from Cadbury, Olympus and Aesop
-'Taking It Further' questions to support critical thinking and application
-Online resources of lecturer slides, essay questions and a guide to country-specific governance codes

Whether studying corporate governance or preparing for a career in business and leadership, Corporate Governance equips students with the knowledge and perspective to navigate complex governance challenges in a global context.
